The Board of Directors is required to comply with the fiduciary duties and legal responsibilities outlined in Tennessee law the applies to nonprofit corporations, which is what the Fairfield Glade Community Club is designated as. Those duties include acting with care, loyalty, and good faith in the management of the organization. Ultimately, this means that while the Board is required to honor the rights of the Declarant, it should not make decisions that favor the Declarant over the well-being of Club members.
